ARTICLE 1. DEINES CULTURAL ART CENTER BOARD
The Board of Directors of the Deines Cultural Art Center shall constitute a body corporate and politic possessing the equal powers of a corporation for public purposes under the name and style of “The Board of Directors of the Deines Cultural Art Center.”

The Deines Cultural Art Center Board shall consist of eleven (11) members. The members shall be chosen or appointed as follows: seven (7) regular members and one (1) permanent member shall be appointed by the Mayor with the Governing Body’s consent; one (1) member shall be appointed by the Russell Arts Council; one (I) member shall be designated by the Deines family, and the Russell City Manager shall be a member. The term of office for the regular members appointed by the Mayor and that member appointed by the Russell Arts Council shall be for two (2) years commencing from the April, 2004, board meeting, except as stated herein below. The permanent member appointed by the Mayor shall remain a member until removed by the Mayor or until such person resigns. The permanent member shall act as a liaison representative between the Board and City. The member appointed by the Deines family shall serve an indefinite term and the term of the City Manager shall be commensurate with his or her office. In order to stagger the term of office of the regular members appointed by the Mayor, the Mayor shall designate three (3) members to serve an initial one-year term and the other four (4) to serve regular two-year terms. Thereafter all regular member appointments shall be for two (2) year terms. Notwithstanding anything to the contrary herein should any member have three (3) consecutive unexcused absences from regular board meetings, such member shall forfeit his or her position and not be eligible for reappointment until after his or her term has expired. Board vacancies occasioned for any reason shall be filled by appointment for the unexpired term in the same manner as the original appointment. Board members shall not receive any compensation for their services, but may receive upon majority vote of the Board reimbursement for expenses.

The members of the Board shall, at their first meeting in April of each year, organize by the election of a chairman and a secretary and other officers as they may deem necessary. The Board shall fix the date and place of its regular meetings and special meetings and provide for the manner of calling special meetings but regular meetings shall be no less often than once each month.

The Board shall have the following powers and duties:
(a) To make and prescribe rules and regulations pertaining to the use of the Deines Cultural Art Center facilities and shall submit such rules and regulations to the Governing Body of the City for approval and enactment.
(b) To make recommendations to the Governing Body concerning the over-all operation of the Deines Cultural Art Center facilities including alterations, modifications, operation, maintenance and other such matters as from time to time may be brought to their attention.
(c) To sit as a control body for the enforcement of the rules and regulations pertaining to the utilization of the Deines Cultural Art Center facilities and to make recommendations to the Governing Body concerning the enforcement of such rules and regulations and sanctions as may be necessary against individuals violating said rules as may be necessary for the enforcement of such rules and regulations. The Board shall not have authority to enact enforcement provisions and the Governing Body shall have full authority for the enactment thereof.
(d) To act as a planning and advisory board to the Governing Body in all matters pertaining to the Deines Cultural Art Center facilities and to perform such other duties as the Governing Body from time to time may request or require.
